Details on Kellton Tech Foreign Bond issuance The announcement was preceded by the mortgage offer, which will be opened on May 16, 2025, after receiving the approval of the board earlier this week. In a regulatory filing, the company announced that its Security Issue Committee has gained the authority to oversee the entire process of issuing FCCBs, as approved at the council meeting on May 14, 2025. These FCCBs will be offered in international markets and will take the form of 6.5% senior unsecured bonds, which is 10 years and 1 month after the full payment. The minimum conversion price was determined in accordance with the FCCB scheme, using May 14, 2025, as the reference date for prices. At a conversion rate of £ 85.3 per US dollar, the release of bonds is around £ 85.3 crore. Once converted fully, it would lead to the issuance of approximately 80.47 lakh shares, each with a face value of £ 5. The company plans to complete the award of FCCBs within 30 days of closing the expense. The filing also emphasized that the company has a clean track record without being standard for FCCB obligations in the past. In addition, there are no current plans to issue preferential or bonus shares in connection with this offer. This step highlights Kellton Tech’s strategy to strengthen its capital base and to support future expansion through a mix of financing sources.
